Terms of service
The terms for the monthly service, and how we work in general. A quote is the contract for a website or app; this fills in the rest.
1. Who we are
"We" are Mizaan Financial Technologies Inc., operating as Built by Mizaan, Edmonton, Alberta. "You" are the business that accepted a quote or paid a setup invoice.
2. What the service is
A system that runs behind the phone number, website, and calendar you already have. Depending on the tier you chose, it texts back a missed call within a minute, answers website forms and texts with a booking link, sends appointment reminders and follow-ups, requests a review after a finished job, and, if you asked for it, answers after hours with an automated assistant. What each tier includes is set out in your quote.
It only acts on something a customer did: a call you didn't answer, a form they sent, a job you marked done, an appointment they booked. It does not cold-call or cold-text anyone, ever, and we won't build it to.
3. What we need from you
- A Twilio account in your name, with your card on it, holding your business number. It is the only account that must be yours, and you can remove us from it at any time.
- Approval of every message template before it is used. We send you a message sheet; nothing goes to a customer in wording you haven't approved.
- Your business hours, the number your line rings on, and, for reminders and reviews, a way for the system to know a job is booked or done.
- Conditional call forwarding on your line (your phone rings first; only unanswered calls reach the system). We talk you through the codes.
4. Fees and billing
- Setup fee, invoiced when you say yes, payable by bank debit or card through the link on the invoice, or by e-transfer. Paid setup fee fixes your start date. It covers the build and is not refundable once the system is live.
- Monthly fee, starting the day the system goes live. The first month is free. It is billed monthly in advance by invoice and covers monitoring, the monthly numbers email, changes to messages, hours, and prompts, and keeping your messaging registration current.
- Running costs (Twilio, and where used Resend, Anthropic, Retell) are billed by those providers to your own accounts at their rates. We add no markup and we tell you the typical figures before you commit.
- Prices are in Canadian dollars. GST is added once we are registered for it.
- If a monthly invoice is unpaid seven days after it is due, we remind you; after fourteen days we may pause the service until it is paid. Nothing is deleted while it is paused.
5. Cancelling
Either of us can end the monthly service with 60 days' notice, by email or through the billing portal. When it ends, you keep your phone number, your forwarding, your Twilio account, and every recording and transcript in it. On request we hand over the code that ran your system so anyone can take it on. Nothing breaks when you leave, and there is no exit fee.
6. Ownership
Everything we build for you is yours: code, design, domain, hosting, and accounts, registered in your name from the start. We keep the right to reuse our own tools and templates for other clients, and to name you as a client unless you ask us not to.
7. What we don't promise
- Transcripts are made by software and can garble names and numbers. The recording is always attached so you can check.
- The system depends on your carrier, Twilio, and the internet. It is not a 911 or emergency service and must not be relied on as one.
- The after-hours assistant is automated and says so when asked. It never quotes prices or promises times unless you approved that exact wording.
- We don't guarantee a number of leads, bookings, or reviews. We show you the real numbers every month instead.
8. Your responsibilities
You are responsible for what you send: that your messages are lawful, that you honour STOP requests (the carrier enforces them, but so must your staff), that your recording notice stays in the greeting, and that your own privacy policy tells customers their data may be processed outside Canada. We give you the wording for that line.
9. Liability
Our total liability to you for anything connected with the service is capped at the fees you paid us in the three months before the problem. Neither of us is liable to the other for indirect or consequential loss, such as lost profits. Nothing here limits liability that Alberta law says cannot be limited.
10. The boring but necessary
These terms are governed by the laws of Alberta and Canada, and disputes go to the courts of Alberta. If part of these terms is unenforceable the rest still applies. We may update these terms; if a change affects a running service we tell you by email at least 30 days before it takes effect, and you can cancel before then without notice.
